Intellectual property rights for work products will be governed by the specific service agreement. Generally, work products created by engineers for clients belong to the client, subject to the terms of the engagement agreement.
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. Engineers are bound by confidentiality obligations regarding client information and projects.
Either party may terminate an engagement in accordance with the terms specified in the service agreement. Termination terms, including notice periods and obligations, will be detailed in individual contracts.
To the maximum extent permitted by law, Twela Technology Consultancy's liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages.
Clients agree to indemnify Twela Technology Consultancy against claims arising from the client's use of our services, except where such claims result from our gross negligence or willful misconduct.
Any disputes arising from these terms or our services will be resolved through good faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration or courts as specified in the service agreement.
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
These Terms and Conditions are governed by the laws of France, with jurisdiction in French courts for any legal proceedings.
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.
