Agreement to Terms

By accessing or using Twela Technology Consultancy's website and services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

Twela Technology Consultancy provides staff augmentation services, connecting French businesses with Kenyan engineering talent. Our services include:

  • Project coordination and management
  • Quality assurance oversight
  • Ongoing support and escalation handling

Use of Services

Client Responsibilities

  • Provide accurate project requirements and information
  • Conduct interviews and make selection decisions
  • Provide necessary access and tools for engineers
  • Make timely payments as agreed
  • Comply with all applicable laws and regulations

Engineer Responsibilities

  • Provide accurate information during application
  • Maintain professional standards and quality
  • Comply with client requirements and deadlines
  • Respect confidentiality and intellectual property

Engagement Terms

Specific engagement terms, including pricing, duration, and scope, will be outlined in separate service agreements. These Terms and Conditions govern the general use of our services.

Payment Terms

  • Payment terms will be specified in individual service agreements
  • Invoices are typically due within 30 days of receipt

Intellectual Property

Intellectual property rights for work products will be governed by the specific service agreement. Generally, work products created by engineers for clients belong to the client, subject to the terms of the engagement agreement.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. Engineers are bound by confidentiality obligations regarding client information and projects.

Termination

Either party may terminate an engagement in accordance with the terms specified in the service agreement. Termination terms, including notice periods and obligations, will be detailed in individual contracts.

Limitation of Liability

To the maximum extent permitted by law, Twela Technology Consultancy's liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages.

Indemnification

Clients agree to indemnify Twela Technology Consultancy against claims arising from the client's use of our services, except where such claims result from our gross negligence or willful misconduct.

Dispute Resolution

Any disputes arising from these terms or our services will be resolved through good faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration or courts as specified in the service agreement.

Modifications

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of modified terms.

Governing Law

These Terms and Conditions are governed by the laws of France, with jurisdiction in French courts for any legal proceedings.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.
